Retail Bond

A retail bond is a debt instrument which has a fixed initial term of typically 3-7 years. It pays a fixed rate of interest, normally on an annual basis.

  • Terms designed to deliver the right balance of attractiveness and risk
  • Returns can be made up of cash and/or credit interest
  • Bonds can be held within a tax-free IFISA or SIPP
  • Security and financial covenants are case-specific

Equity Offering

Through an equity offering, a club sells a percentage of its share capital to outside investors.

  • Offering can be through “nominee” company to minimise admin
  • Voting rights, board representation and governance are case-specific
  • Option to create investor return through performance-based dividends
  • Valuation needs to be fair and validated

Convertible Bond

A convertible bond is like a retail bond but can be “converted” into another form. Typically conversion is into club shares, but it can also be into other non-cash items.

  • Bonds can be made convertible into equity (shares), or credit to be redeemed on season tickets, club merchandise etc.
  • Coupon, conversion premium and terms are case-specific
  • Conversion can be at the discretion of the club and/or the investor
  • Can provide clubs with more financial flexibility (e.g. stadium financing)

Tifosy leads all aspects of the capital raise process

Advice on appropriate choice of instrument, structure & terms to deliver fundraising objectives in context of market conditions and likely level of investor demand

Provide guidance on legal aspects of the offering (offer documents, regulatory compliance, financial promotion restrictions, AML/KYC)

Review Club financial model / assumptions; conduct detailed financial and legal due diligence and ensure conformity of promotional materials with documentation

Drafting of prospectus or other offering document which forms the basis of investment decision (includes description of structure, terms, financials, risk factors etc.)

Design bespoke investment pages for public and private phases incorporating key terms, hosting of offer documentation, ISA for UK taxpayers and investor FAQs

Market sounding & capital raise strategy design (private/public phases); ensure maximum conversion and manage a detailed tracker to monitor investment

Investor support including Q&A events, helpline, dedicated email and live chat functionality; Tifosy handles all communications with investors through the term

Develop bespoke marketing strategy and detailed plans including analysis of investor appetite and potential investor benefits

Regular analytics reports covering traffic analysis and conversion funnel, marketing effectiveness, investor demographics and location analysis

Hold funds on behalf of club; record applications and maintain allocation list as part of the offer; facilitate cash interest payments to investors on behalf of the club

Als Italiener in Belgien aufgewachsen hat er seine Karriere in der Finanzbranche verbracht, wo er mit vielen Medien-, Sport- und Internetunternehmen weltweit zusammengearbeitet hat, zuletzt bei Morgan Stanley und Goldman Sachs. Die Tatsache, dass Sportvereine Schwierigkeiten haben, traditionelle Finanzmittel zu mobilisieren und die wachsende Tech-, Sozial- und alternative Finanzrevolution lösten die Idee von Tifosy aus. Fausto hat einen MBA von der London Business School und ist ein qualifizierter Buchhalter (CPA). Er spricht mehrere europäische Sprachen fließend und ist ein großer Fan von Inter Mailand.

Luca war von Anfang an bei Tifosy. An seinem Küchentisch hatten wir die erste Inspiration, die Firma zu gründen. Er ist weltweit als ehemaliger Stürmer für Sampdoria, Juventus, Chelsea und die italienische Nationalmannschaft bekannt. Während seiner glanzvollen Karriere gewann er alle 3 europäischen Pokale und zahlreiche heimische Trophäen. Nachdem er seine Schuhe an den Nagel gehangen hatte, arbeitete Luca bei Chelsea und Watford. Er ist Sportkommentator / Analyst bei Sky Sports in Italien und unterstützt seine Stiftung zur Finanzierung von Krebs- und ALS-Forschung.

Geoff ist ein leidenschaftlicher Tottenham Hotspur Fan und findet auch Zeit, seinem Club Club Billericay Town zu folgen.

Ist ein Veteran in der Blue-Chip-Branche. Er hat seine Karriere bei Procter & Gamble in London begonnen, von wo aus es nach Genf ging. Nach Rückkehr nach Hause gab er sein strategisches Know-how im FMCG Unternehmen Kantar Retail, einem WPP Unternehmen weiter. Vor seinem Eintritt bei Tifosy leitete James das Strategiebüro für eine der vier Business Units bei Unilever (Ice Cream und Tee). Als Fan von Arsenal seit seinen frühen Jahren, folgt James auch Rugby und Tennis.

Kam zu Tifosy von Juventus FC, wo er Leiter der globalen Partnerschaften und internationale Entwicklung war. Er sichert Sponsorenverträge mit großen internationalen Marken für den Verein. Zuvor war er auch als Geschäftsdirektor bei Nielsen Sport (ehemals Repucom) und Sportmarketingdirektor beim Medienunternehmen MEC Access tätig. Er bringt ein tiefes Verständnis von Sportmarketing und Fan-Engagement zu Tifosy. In Turin geboren, ist Nicola Fan von des FC Juventus.

Mit einem doppelten Master in Wirtschaft und Recht der UCD kam Tommy zu Tifosy von Arthur Cox, einer führenden europäischen Anwaltskanzlei, wo er sich auf M & A und Corporate Finance spezialisierte. Tommy hat eine beispielhafte Erfolgsbilanz bei der Beratung einer Vielzahl von Handels- und Compliance-Angelegenheiten (einschließlich Fusionen; Übernahmen; Börsengänge; Ausgliederungen; Finanzstrukturen und Corporate Governance) und beriet viele erstklassige Banken. Er hat auch Erfahrung in der Sportindustrie, nachdem er Irlands größtes Telekommunikationsunternehmen beim Erwerb der irischen Übertragungsrechte an der EPL und der UEFA Champions League beraten hat.

Der aus Paris stammende Maxime kam von Goldman Sachs, wo er Finanzinstitute beriet, zu Tifosy. Nach seiner Erfahrung bei der Bank of America Merrill Lynch und der Deutschen Bank verfügt Maxime über umfangreiche Erfahrung in der detaillierten Bewertung und Sektoranalyse von M&A-Transaktionen, IPOs und Fremdfinanzierungen. Mit einem Master in Management der ESCP Europe spricht Maxime mehrere europäische Sprachen, spielt Rugby und Fußball und ist Fan von Paris Saint Germain

Simone came to Tifosy following eight years working in the finance industry, with roles in investment banking at Credit Suisse and in analytics and sales at Bloomberg. He has advised corporations in the media, sport and telecom sectors on growth strategies, optimising capital structure and financing requirements. Italian born, he also lived in Russia, Spain and the United States where he became an American football addict (and a Seahawks fan), as well as playing semi-pro football before building a career in finance.

Halb-uruguayisch, halb deutsch und mit einem Abschluss der LSE als auch der LBS sowie einem buchhalterischen Hintergrund und starken analytischen Fähigkeiten, leitet Alex sowohl die Finanzen als auch die Datenanalyse, wobei er bei letzterem eng mit dem Technologieteam zusammenarbeitet. Bevor er nach London zog, arbeitete er bei der Bank of America Merrill Lynch und der Julius Baer Gruppe sowie im Reporting-Team eines großen multinationalen Unternehmens in der Ölbohrindustrie.

Nach einer Ausbildung in Musik und Mathematik mit Statistik begann Daryl seine Karriere in der Luxus-Hotellerie, bevor er sich als Coder an der renommierten Makers Academy in London umorientierte, wo er auch andere Studenten coachte. Daryl ist ein Full-Stack-Entwickler mit Erfahrung mit Ruby on Rails, Javascript mit Backbone und ES6 und PostgreSQL, die er in den Maschinenraum von Tifosy mitbringt. Als weiterer Gooner absolviert Daryl regelmäßig Ausdauerwanderungen und ist begeisterter Kraftsportler.

Als Absolvent in Contemporary Media Practice wechselte Charlie zu Tifosy von Millwall Football Club, wo er als lebenslanger Fan und Dauerkarteninhaber in der Medienabteilung an Inhalten des Clubs und des Community Trust arbeitete. Als erfahrener kreativer Kopf mit Fähigkeiten in Videoproduktion, Fotografie, Grafikdesign und Animation verfügt Charlie über eine breite Palette von Design- und Videosoftware sowie Presseerfahrungen aus seiner Zeit, die er bei Southwark News im Bereich Profisport verbracht hat.

Prior to Tifosy, Tom worked as a freelance designer for a number of clients including contemporary artist Lauren Baker and luxury homeware brand British Colour Standard.
