This offering of ordinary shares with voting rights represents a unique opportunity to invest directly into an iconic football club with a prestigious 150-year history, access to European football and a global following estimated to exceed 3 million supporters.

Under a group of committed supporter-owners since the start of 2015, the Club has delivered very strong results both on and off the pitch and a platform has been created for future growth. The owners have invested significantly into the Club’s foundations in order to put Rangers in a position not only to challenge for the top domestic prizes but to become a leading club on the European stage. A transformational approach has been applied to all aspects of the Club’s business and operations, with the intention of delivering significant growth and making the Club financially sustainable to future-proof the next 150 years.

 

Under highly-rated manager Steven Gerrard, Rangers won the 2020/21 league title – the Club's 55th in it history – without losing a single game. Off the pitch, 2019/20 revenue was 2.7x that of 2015/16, driven by matchday income underpinned by the third-highest season ticket base in the UK, a step-change in commercial revenues and the return of European football.

The Rangers football department has been restructured and modernised under Sporting Director Ross Wilson, with an increased focus on data analysis, scouting and recruitment and investment into the creation of an elite working environment for playing squads at all levels.

By reaching the UEFA Europa League last-16 in the past two seasons Rangers has improved Scotland’s UEFA co-efficient and the potential for future European revenue. Regular participation in top-level European competition would also bring global brand exposure and help to accelerate the players’ development and international profile. The Club’s also has plans to create one of the best Academies in Europe and to produce players who can excel for the first team or become valuable squad assets with the potential to generate profits in the transfer market.

Rangers is a modern, pioneering football club. The Club has clear ambitions focussed on domestic trophies and extended European campaigns; however, it also has a clear focus on financial sustainability. Funds raised by the equity offering will be invested into projects designed to support the Club’s success both on and off the field, strengthen its financial sustainability, and build its long-term value.

Mr. Park joined the Rangers Board in 2015, playing an instrumental role in securing the Club’s future. He became Chairman in 2020 and has led the Club during the COVID-19 pandemic, becoming the first Chairman to preside over a Scottish League title victory since 2011. Mr. Park started his professional career operating a coach business with his father before establishing his own company, Park’s of Hamilton, in 1971. Park’s continued to grow, building an automotive business which now represents 25 major car manufacturers, whilst the coach operation has continued to flourish as Scotland’s leading private hire coach business, providing coaches for most Central Scotland-based Scottish Premiership clubs as well as the Scottish National Football Team. A well-known entrepreneur throughout the Scottish business community, Mr. Park has a keen interest in charity work and has played a crucial role in raising money for local charities in Lanarkshire.

JOHN BENNETT

DEPUTY CHAIRMAN

An industry leader in equity management, Mr Bennett manages a number of portfolios on behalf of retail and institutional investors from around the world. He has over 34 years of financial industry experience, during which his investment strategies have been recognised by a number of prestigious industry awards. He is currently Director of European Equities at Janus Henderson Investors, a role he has held since 2011 when his previous employer, Gartmore, was acquired by Henderson. Prior to this he served as Investment Director at Global Asset Management (GAM) for 17 years, where he developed and led the European equities business. Mr. Bennett’s first role in money management was at Edinburgh fund management boutique, Ivory & Sime, a position he moved to from his role at Clydesdale Bank. Born and raised a Rangers supporter in Glasgow, he strengthened his lifelong association with the Club by investing and being appointed to the Board in March 2015. Mr. Bennett assumed the role of Deputy Chairman in March 2020.

STEWART ROBERTSON

MANAGING DIRECTOR

A graduate of Glasgow University, Mr. Robertson qualified as a Chartered Accountant with Ernst and Young in 1990. He then moved to PKF and subsequently joined PricewaterhouseCoopers, where he spent eight years in the corporate finance team. In 2000, he became a Partner in a private investment firm where he served as a Non-executive Director on the boards of several companies in various industries, including 12 years as a Director of Motherwell Football Club where he acted as Managing and Financial Director for several years before reverting to Non-Executive status. He was also responsible for all the FCA regulated activities of the investment business and was FCA authorised in corporate finance and venture capital. Mr. Robertson joined Rangers in 2015 and has played a key role in implementing operational and strategic change, overseeing the recovery of the Club and its return to financial sustainability and on-field success. He has served on the Board of the Scottish Professional Football League (SPFL) on several occasions since 2003 and is currently a member of the SFA’s Professional Game Board. Mr. Robertson was appointed to the football club Board in June 2015.

JAMES BISGROVE

DIRECTOR OF COMMERCIAL & MARKETING

Mr. Bisgrove began his career in marketing at the Royal Bank of Scotland where he was responsible for the management and execution of sports sponsorships in cricket, rugby, tennis, golf and Formula 1 as well as The O2 Arena London. He then took up the role of International Account Manager at Betfair, delivering multi-channel campaigns across 15 European countries, leveraging partnerships with clubs such as Manchester United and FC Barcelona. In 2010, Mr. Bisgrove was appointed Sponsorship Controller at Emirates Airline, spending three years in Dubai managing an extensive global partnership portfolio including Arsenal FC, Real Madrid, Formula 1 and the NBA. Recruited by UEFA in 2013, Mr. Bisgrove had accountability for driving the strategy and execution of the Champions League sponsorship programme and managing the relationship with exclusive agency TEAM Marketing, before joining TEAM to head up sponsorship with 15 brands across the Champions League and Europa League club competitions. He joined Rangers FC in 2019 to drive commercial and brand growth and was appointed to the football club Board in January 2020.

ROSS WILSON

After graduating from the University of Strathclyde, Mr. Wilson began his career in 2004 at Falkirk FC, where he oversaw the development of the football department including recruitment strategy and academy operations, ultimately leading the academy to unprecedented success as the club enjoyed the most successful period in its history. In 2011 he took up the role of Football Business Director at Watford FC in the EFL Championship, with responsibility for player recruitment, medical and sports science and academy and football development, as well as serving as a member of the club’s Executive Board. There followed three years as Executive Director and Head of Football Operations at Huddersfield FC, during which time Mr. Wilson led the establishment of building a sustainable championship club that was ready to compete to be promoted to the Premier League through the establishment of a modern player recruitment department, the upgrading of the training ground and Academy facilities to achieve Category 2 EPPP status and significant growth in player trading profits. Following this successful period in West Yorkshire, in 2015 Mr. Wilson joined Southampton FC in the Premier League as Director of Football Operations, where he oversaw several significant transfers including a record-breaking European transfer. In October 2019, Mr. Wilson moved to Rangers to take up the role of Sporting Director and was appointed to the football club Board in January 2020.

Steven Gerrard

Born in Whiston, Merseyside, Mr. Gerrard spent the majority of his playing career as a central midfielder for Liverpool and the England national team. He is the longest-serving captain in Liverpool’s history and ranks fifth amongst England captains. In 17 seasons with Liverpool Mr. Gerrard won two FA Cups, three League Cups, the UEFA Champions League, UEFA Cup, FA Community Shield and UEFA Super Cup. Described by pundits and fellow professionals as one of the greatest players of his generation, he was the UEFA Club Footballer of the Year and won the Ballon d'Or Bronze Award in 2005 and is the only footballer to score in an FA Cup Final, a League Cup Final, a UEFA Cup Final, and a UEFA Champions League Final, winning on each occasion. At international level, Mr. Gerrard is England's fourth-most capped player with 114 caps, scoring 21 goals for his country and playing in three UEFA European Championships and three FIFA World Cups. After retiring as a player, Mr. Gerrard became a coach in the Liverpool Youth Academy and managed the club’s under-18 team during the 2017/18 season. In 2018, he was appointed manager of Rangers, leading the club to its first league title in 10 years in the 2020/21 season.
